Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Journaes website, mobile application, and all related services (collectively, the “Platform”) operated by Journaes Inc. (“Journaes,” “we,” “us,” or “our”), a company incorporated in Canada.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About Journaes

Journaes is a self-guided audio walking tour platform that allows users to explore cities and neighbourhoods at their own pace. Tours are donation-based. Journaes acts as a platform provider only and is not an event organiser, tour guide, or travel agency.

2. Eligibility

You may use the Platform if you are:

• 18 years of age or older; or

• Under 18, with the express consent of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Platform, you represent that you meet one of the above conditions. Journaes reserves the right to terminate access for any user who does not meet these requirements.

3. User Accounts

You may be required to create an account to access certain features of the Platform. You agree to:

• Provide accurate, current, and complete information during registration.

• Keep your account credentials confidential.

• Notify us immediately at info@journaes.com if you suspect unauthorised access to your account.

• Take responsibility for all activity that occurs under your account.

Journaes reserves the right to suspend or terminate accounts at its discretion, including for violation of these Terms.

4. Tours and Tour Content

4.1 Nature of Tours

Tours offered on the Platform are self-guided and take place in public outdoor spaces. Journaes does not employ tour guides or control the physical environment in which tours take place.

4.2 Accuracy of Content

While we make reasonable efforts to ensure tour content is accurate, Journaes does not warrant the completeness, accuracy, or currency of any tour descriptions, maps, directions, or points of interest. Conditions in physical locations change and may differ from what is described on the Platform.

4.3 Tour Availability

Journaes reserves the right to modify, suspend, or discontinue any tour at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of tours.

5. Donations and In-App Purchases

Tours on Journaes are offered on a voluntary donation basis. Donations are processed differently depending on the platform you use:

• iOS (iPhone and iPad): Donations are processed through Apple’s In-App Purchase system and are subject to Apple’s terms and conditions, available at apple.com/legal/internet-services/itunes/. Journaes does not store your payment information. All payment data is handled exclusively by Apple. Refund requests for iOS donations must be directed to Apple through the App Store.

• Android: Donations are processed through Buy Me a Coffee, a third-party platform. Tapping the donation link will open Buy Me a Coffee outside the app in an external browser. Journaes does not receive or store your payment details. Transactions on Android are subject to Buy Me a Coffee’s terms, available at buymeacoffee.com/terms.

Donations are entirely voluntary and do not constitute payment for a service or guarantee any specific experience. Journaes does not offer independent refunds on donations — all refund requests are subject to the policies of the relevant payment platform above.

6. Participation and Assumption of Risk

By starting a tour, you acknowledge that:

• Participation in a walking tour involves physical activity in public spaces and carries inherent risks, including uneven terrain, weather conditions, traffic, and physical exertion.

• You voluntarily assume all risks associated with your participation.

• Journaes is not responsible for your physical safety during a tour.

• You are solely responsible for obeying all applicable Canadian federal, provincial, and municipal traffic laws, pedestrian regulations, and any other local regulations during your tour.

• Journaes does not direct your movement through traffic and accepts no liability for traffic violations, accidents, or injuries.

A separate in-app Tour Participation Agreement must be accepted before each tour begins. That agreement forms part of your overall agreement with Journaes and is incorporated into these Terms by reference.

7. Group Tours and Participant Conduct

When joining a group tour, you agree that:

• Journaes is a platform facilitating the group experience and is not responsible for the conduct, actions, or omissions of other participants.

• Any dispute, incident, or criminal act involving other group members is solely between those individuals.

• You will conduct yourself lawfully and respectfully toward all other participants and members of the public.

• You will not hold Journaes liable for any loss, harm, or damage caused by a fellow participant.

Journaes reserves the right to remove any user from the Platform whose conduct is reported as harmful, threatening, or unlawful.

8. Intellectual Property

All content on the Platform, including but not limited to tour narratives, audio recordings, maps, photography, graphics, and software, is the property of Journaes Inc. or its licensors and is protected by applicable Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, adapt, create derivative works from, publicly display, or otherwise exploit any content from the Platform without prior written permission from Journaes.

Personal, non-commercial use of the Platform for the purpose of completing a tour is permitted under these Terms.

9. User-Generated Content

If you submit reviews, photographs, comments, or other content to the Platform (“User Content”), you grant Journaes a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, modify, and display that content for the purposes of operating and promoting the Platform.

You represent that you own or have the right to submit your User Content and that it does not violate the rights of any third party. Journaes reserves the right to remove any User Content at its discretion.

10. Privacy and Data

Journaes collects, uses, and discloses personal information in accordance with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy, which is incorporated into these Terms by reference and available at journaes.com/privacy.

When you accept the Tour Participation Agreement in-app, we record your device identifier, the timestamp of acceptance, and the version of the agreement accepted. This record is retained for legal and compliance purposes.

11. Tracking, Cookies, and Device Data

The Journaes mobile app does not use browser cookies. The app uses a device identifier to store your session preferences and your acceptance of the Tour Participation Agreement. This device identifier is not linked to your name unless you create an account.

Journaes does not use your data for advertising or marketing purposes. We do not share your data with data brokers or any third party for the purpose of targeting you with advertising. We do not engage in cross-app tracking.

If you access web-based content through the app (for example, external links that open in a browser), those web pages may set cookies governed by their own privacy policies. Journaes is not responsible for cookies or tracking technologies used by third-party websites.

Our website (journaes.com) may use standard analytics cookies to understand how visitors use the site. These cookies do not identify you personally and are not used for advertising. You may disable cookies through your browser settings, though this may affect some website functionality.

12. Third-Party Links and Services

The Platform integrates with or links to the following third-party services:

• Mapbox — used to display maps and tour routes within the app. Subject to Mapbox’s privacy policy at mapbox.com/legal/privacy.

• Apple In-App Purchase — used to process optional donations on iOS. Subject to Apple’s terms at apple.com/legal/internet-services/itunes/.

• Buy Me a Coffee — used to process optional donations on Android via an external browser link. Subject to their terms at buymeacoffee.com/terms and privacy policy at buymeacoffee.com/privacy-policy.

Journaes does not control and is not responsible for the content, privacy practices, or terms of any third-party sites or services. Accessing third-party links is at your own risk.

13. International Users and GDPR

Journaes is operated from Canada, a country recognised by the European Commission as providing an adequate level of data protection. If you are located in the European Union or European Economic Area, your personal data transferred to Canada benefits from this adequacy decision.

To the extent that the General Data Protection Regulation (GDPR) applies to the processing of your personal data, Journaes processes that data on the following lawful bases:

• Contract performance — processing your device identifier and location data to deliver the tour experience you requested.

• Legitimate interests — maintaining session records and accepted terms for legal and operational purposes.

• Consent — where you voluntarily create an account or provide optional profile information such as your name, height, or weight.

If you are an EU/EEA user, you have the right to access, rectify, erase, or port your personal data; to object to or restrict its processing; and to withdraw consent at any time without affecting prior processing. You also have the right to lodge a complaint with your local data protection authority.

14. Disclaimers

The Platform and all content are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Journaes does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

15. Limitation of Liability

To the fullest extent permitted by applicable Canadian law, Journaes Inc., its directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with:

• Your use of or inability to use the Platform.

• Any tour participation or related physical activity.

• The conduct of other participants during a group tour.

• Any loss or damage to personal property.

• Any errors or inaccuracies in tour content.

In no event shall Journaes’s total cumulative liability to you exceed the total amount donated by you to Journaes in the twelve (12) months preceding the claim, or CAD 00, whichever is greater.

16. Indemnification

You agree to defend, indemnify, and hold harmless Journaes Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform.

• Your participation in any tour.

• Your violation of these Terms.

• Your violation of any applicable law or the rights of a third party.

17. Modifications to Terms

Journaes reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or by email if you have an account. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

The version number and effective date at the top of this document indicate the current version. Previous versions are available upon request.

18. Termination

Journaes may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of Canada and the laws of the province in which Journaes Inc. is incorporated, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the applicable Canadian arbitration body, unless prohibited by law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any in-app Tour Participation Agreement, constitute the entire agreement between you and Journaes with respect to your use of the Platform and supersede all prior agreements and understandings.
